Venue Estates' Ethics and Compliance Manual aims to promote responsible and sustainable standards that encourage fairness and equity. 

 

What positions us for long-term success is ethical and excellent teamwork.  We assess risk with the aim of: 

– Identify new and emerging risks;

– Develop and update mitigation plans; 

– Be aware of, classify and prioritize existing risks.

The risk areas that deserve our greatest attention are: ethical culture; conflicts of interest; fair competition and antitrust; anti-bribery and corruption; supplier partner risk; privacy and data protection; financial crime, combating money laundering and trade sanctions.

We direct defense resources in the event a risk materializes. The legal team's collaboration in the risk assessment is essential to determine where to allocate resources. 

 

Venue Estates' Code of Ethics and Compliance requires

– Use common sense to act correctly;

– We promote positive and ethical ways of working;

Unethical, illegal, discriminatory behavior and suspected wrongdoing must be reported.

Prevent corruption

Bribery does not allow for security and trust in the market and commercial relations. It harms all people involved and the community. 

We are constantly vigilant to avoid corrupt practices and to conduct business in a frank and honest manner, even if this puts us at a disadvantage.

Bribery can take many forms, and therefore does not necessarily involve money. Any action aimed at influencing a decision or obtaining a commercial advantage is equally reprehensible. 

We obtain prior advice from the Legal Department before offering a gift and/or hospitality, even if symbolic, when it concerns government officials. 

All accounts and records are clear, objective and transparent. We do not facilitate payments even when considered normal practice. Disguised practices and corrupt payments are unacceptable. 

We carefully review commercial agreements, we believe that our business partners share the same values.

When we offer employment or internship opportunities, we ensure that offers are based solely on merit. 

We seek legal advice if it is discovered that a candidate is related to a client or government official. 

Dealing with government officials on behalf of clients may require us to register and disclose as a lobbyist. We follow best practices when dealing with government officials.

We avoid any conduct that could be construed as undue influence on the decision-making of a government official. We consider the possibility of offering gifts and/or hospitality, even symbolic ones, meals and/or simple drinks, to a government official or employee.

Accurate books and records

We are transparent and serious about our commitments. Accurate and complete financial records show the real financial aspects of a transaction. We do not accept “informal” agreements.

Gifts and entertainment

Giving and receiving gifts and hospitality encourages good, solid working relationships as long as there is common sense and moderation. 

We have criteria for giving and receiving gifts and entertainment. We do not create feelings of obligation that could appear to be an attempt to influence business decisions. 

Gifts may include cash, gift cards or anything of value to the recipient as long as they are appropriate and reasonable, which means they can be made public without any reprimand.

We never ask anyone to provide a gift or hospitality on behalf of Venue Estates, nor do we ask for gifts, hospitality or favors from business partners or suppliers.  

We only accept token gifts or hospitality in accordance with company policies. 

 

We compete fairly

We build trust, dealing fairly with our customers, partners, competitors and employees.

We comply with antitrust and competition laws. We do not obtain advantages through manipulation, concealment, disparagement, misrepresentation or any other unfair practice.

We avoid any agreement that limits competition and we do not collaborate with competitors that precipitate our services, even to achieve mutual opportunities.

When gathering information about competitors, we use reliable and legitimate sources that do not misrepresent any facts to gain an unfair advantage.

We build long-term relationships by competing honestly and fairly. We only engage in accurate and truthful marketing.

We respect competitive bidding processes, confidentiality and third party intellectual property rights. 

We never use confidential information without authorization, nor do we allow confidential company or customer information to be used for purposes other than the fulfillment of the company's contractually established commercial obligations.

Respecting confidentiality remains a duty even if you leave the company. 

Money laundering and financial crimes

It is everyone's obligation to act responsibly to prevent financial crimes such as money laundering, terrorist financing and tax evasion. 

We fully comply with applicable laws and regulations to combat money laundering. We never knowingly assist or do business with individuals involved in financial corruption.

The principles of integrity, transparency and accountability are mandatory in all our actions, which includes commercial transactions. 

Our policy has been developed to help us understand our customers and business partners with whom we work, reducing the chance of inadvertently assisting in money laundering or financial crimes. 

When there is a change in the transaction, we update the due diligence checks. 

Money laundering in the real estate sector

The high value and security of real estate assets makes them attractive to criminals who want to disguise and make it appear that their assets have a legitimate origin. 

The “dirty money” channeled through complex offshore companies is mostly invested in properties with above-market values with the aim of obtaining a legitimate income through the rental of the property and receiving “clean” money through the sale of the product.

Trade compliance

We provide customer service in compliance with economic sanctions. We comply with the ban on trading with some countries, governments, companies and individuals. 

We review business opportunities before committing to a client to ensure compliance with applicable sanctions laws. 

 

Use of privileged information (insider trading)

Financial laws and trading restrictions are complied with. Trading on privileged information is not permitted, nor is it permitted to use or share it to obtain financial or other personal benefits, which we call insider trading, an illegal and unfair practice that destroys the trust that has been built. 

 

Assets, information and interests

Company assets and resources are used responsibly. We prevent waste, damage, loss, theft and fraud. Serving on the advisory board of a non-competing company can provide a developmental experience that benefits both Venue Estates and the employee. However, outside activities with competing companies or that negatively impact your job performance are not permitted.
